2. Acceptance of Terms

• Confirm that you are at least 18 years of age or have the legal capacity to enter into contracts.
• Accept these Terms as a binding agreement between you and Codecafe Lab IT Solutions.
• Understand that your continued use of our Services constitutes your acceptance of any changes made to these Terms.
• Agree to comply with all applicable laws and regulations regarding online conduct and acceptable content.

We reserve the right to update, modify, or replace these Terms at our sole discretion. Changes will be effective immediately upon being posted on our Website.

3. Services Offered

Each service may be governed by a separate service agreement, NDA, or statement of work (SOW).

4. Intellectual Property Rights

All content, graphics, design, logos, software code, documentation, databases, and data on our Website or within our Services are the exclusive intellectual property of Codecafe Lab IT Solutions or its licensors.

• Copy, reproduce, distribute, or display our content or code without written consent.
• Attempt to reverse-engineer, modify, or derive source code from our software or services.
• Use our trademarks, brand names, or logos without authorization.

Violating these rights may result in legal action.

5. Client Responsibilities

• Provide accurate and complete project requirements and documentation.
• Grant timely feedback, approvals, or other required inputs to avoid project delays.
• Respond to communication within a reasonable time frame.
• Not use our Services for unlawful purposes, spamming, or violating third-party rights.
• Accept responsibility for the security of any login credentials or systems provided to you.

Clients who fail to cooperate or provide necessary resources may experience project delays or additional charges.

6. Payment Terms

• All projects and services are billed as per the terms agreed in the project proposal, quotation, or invoice.
• A project may require an upfront advance or milestone-based payments.
• Late payments beyond the due date will attract a 2% interest per month.
• Services or project delivery may be paused or terminated due to non-payment.
• Payment is accepted via bank transfer, UPI, or other modes specified in the invoice.

All taxes, duties, or regulatory fees, if applicable, are to be borne by the client.

7. Refund Policy

Due to the nature of our services (custom development, consultation, and digital delivery), we do not offer refunds once work has commenced or services have been delivered.

However, in exceptional cases such as:

• Failure to initiate the project after payment (and no work commenced).
• Mutual agreement of termination before any deliverables are submitted.

A partial refund may be issued at our discretion, subject to deductions for time spent and tools used.

All refund requests must be made in writing and are processed within 15 business days upon approval.

8. Confidentiality

• Treat all project documents, source code, data, and other shared materials as confidential.
• Not disclose or share any sensitive information to third parties without prior written consent.
• Implement reasonable measures to safeguard confidential and proprietary data.

This clause survives termination of the engagement.

9. Limitation of Liability

• Any indirect, incidental, punitive, or consequential damages.
• Loss of revenue, profits, goodwill, or business interruption.
• Issues caused by third-party platforms, hosting services, or client-side systems.
• Delays arising due to force majeure, natural disasters, political unrest, pandemics, or internet outages.

Our total liability in any circumstance is limited to the amount you have paid for the services in question.

10. Third-Party Services and APIs

Our services may integrate or rely on third-party tools, services, and APIs (e.g., Google Cloud, Meta APIs, payment gateways).

• We are not responsible for the performance, downtime, or policy changes of third-party platforms.
• Your use of such third-party services may be subject to their respective terms and conditions.
• We may share minimal necessary information with these providers to complete services.

11. Termination of Services

We reserve the right to suspend or terminate your access to services under the following circumstances:

• Breach of these Terms.
• Non-payment of dues.
• Misuse of services, spamming, or illegal activities.
• Disruption of project communication or failure to provide necessary inputs.

Upon termination:

• All pending invoices must be cleared immediately.
• Deliverables completed up to that point may be handed over.
• Access to systems or source code may be revoked until dues are cleared.

12. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted under the laws of India. In the event of a dispute or legal action, the courts of Jaipur, Rajasthan, shall have exclusive jurisdiction.

We encourage resolving issues amicably before pursuing legal remedies.
